Terms of Service

These Terms of Service ("Terms") govern your access to and use of EuroDesk OS, a platform operated by EuroDesk ("we", "our", or "us"), available at eurodesk.io. By accessing or using our platform, you agree to be bound by these Terms.

1. Eligibility

EuroDesk OS is a B2B platform designed for study-abroad education agencies and their authorized counselors. You must be at least 18 years old and have the authority to bind your agency to these Terms in order to use the platform.

2. Account Registration

To use EuroDesk OS, you must create an agency account. The agency owner is responsible for:

  • Providing accurate and complete registration information
  • Maintaining the security of account credentials
  • All activities that occur under the agency account
  • Managing access for individual counselors within the agency

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or abusive behavior.

3. Acceptable Use

You agree to use EuroDesk OS only for lawful purposes related to study-abroad counseling and student placement services. You must not:

  • Upload transcripts or documents that you do not have the legal right to process
  • Attempt to access data belonging to other agencies
  • Reverse engineer, decompile, or disassemble any part of the platform
  • Use the platform to transmit malware, viruses, or harmful code
  • Attempt to bypass rate limits, security measures, or access controls
  • Use automated systems to access the platform without prior written consent
  • Resell, sublicense, or redistribute the platform or its features

4. Services and Features

4.1 Free CRM Features

The Kanban CRM, student pipeline management, visa requirement monitoring, and university database access are provided free of charge. We reserve the right to modify or discontinue free features at any time, with reasonable notice.

4.2 AI Processing Credits

AI-powered features including transcript parsing, ECTS conversion, and university matching require purchased credits. Credits are consumed per transcript processed. Unused credits are non-refundable unless required by applicable law. Credit pricing is subject to change with notice.

4.3 AI Accuracy Disclaimer

AI transcript parsing and ECTS conversion are provided as tools to assist counselors. While we strive for high accuracy (typically 90%+ confidence), the AI output should be reviewed by a qualified counselor before use in official university applications. EuroDesk OS does not guarantee 100% accuracy and is not liable for errors in AI-extracted data that have not been reviewed by the user.

5. Data and Privacy

Your use of EuroDesk OS is also governed by our Privacy Policy and Data Processing Agreement. By using the platform, you acknowledge that:

  • You are the data controller for student information you upload
  • EuroDesk OS acts as a data processor on your behalf
  • You are responsible for obtaining any necessary consents from students whose data you process through our platform
  • We implement Row Level Security to ensure agencies can only access their own data

6. Intellectual Property

EuroDesk OS and all content, features, and functionality — including but not limited to text, graphics, logos, icons, software, and the design and organization of the platform — are the exclusive property of EuroDesk and its licensors and are protected by intellectual property laws.

You retain ownership of the data you upload to the platform. By uploading data, you grant us a limited license to store, process, and display that data solely for the purpose of providing the EuroDesk OS services to you.

7. Third-Party Services

EuroDesk OS integrates with third-party services including:

  • Google Vertex AI: Used for transcript parsing
  • Supabase: Used for database, authentication, and storage
  • Vercel: Used for frontend hosting
  • Google Cloud Run: Used for backend API hosting

Your use of these services is also subject to their respective terms of service. We are not responsible for the practices or availability of third-party services.

8. Service Availability

We aim to maintain high availability of the platform but do not guarantee uninterrupted service. We may perform scheduled maintenance, updates, or emergency repairs that temporarily affect availability. We will provide advance notice of scheduled maintenance when possible.

9. Limitation of Liability

To the maximum extent permitted by law, EuroDesk OS shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, business opportunities, or goodwill
  • Errors or inaccuracies in AI-generated transcript parsing results
  • University admission decisions or visa application outcomes
  • Service interruptions or data loss caused by third-party providers

Our total liability for any claim arising from these Terms or your use of the platform shall not exceed the amount you have paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless EuroDesk OS and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the platform
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Data you upload that you do not have the legal right to process

11. Term and Termination

These Terms remain in effect for as long as you use EuroDesk OS. Either party may terminate the agreement at any time:

  • By you: By ceasing use of the platform and requesting account deletion
  • By us: With 30 days' written notice, or immediately if you violate these Terms

Upon termination, we will delete your agency data within 30 days unless a longer retention period is required by law. Unused AI credits will be forfeited unless otherwise agreed.

12. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new "Last updated" date and, where appropriate, by email. Your continued use of the platform after the effective date constitutes acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which EuroDesk is registered, without regard to conflict of law principles. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable jurisdiction.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
